Car Acquisition by America’s Trains (“ATs”):
ATs may acquire cars that are or aren’t Amtrak approved and that do or don’t need a lot of repairs:
1. For cash at a fair purchase price (“Fair Price”).
2. For equity (stock) in ATs at a favorable share price, with preferred rights and affirmable expected significant earnings; the car will be valued in excess of the Fair Price.
3. For equity (public stock) in ATs’ major travel industry parent/holding company, if appropriate, valued in excess of the Fair Price.
4. By an equipment lease purchase agreement, assuming necessary improvements paid for by ATs are allowed, with typical monthly lease payments and a purchase amount in excess of the Fair Price; ATs pays all expenses. If desired the lessor can use the car for a period of time each year and pay the direct operating costs while waiving related lease payments during the use period.
Number, Type of Cars:
America’s Trains (“ATs”) will introduce up to 38 luxurious rail cars having a total of about 140 bedrooms within several years. Sales capabilities exceed the related growth of passenger capacity.
Cars will be acquired from private sources, railroads and otherwise.
To meet already assured occupancy levels, initial car acquisitions include six cars to sequentially start service by about the end of 2026, starting in 2025, including the following (not necessarily in order of acquisition):
1. Bi-level transition car: Crew quarters, four bedrooms (1 Optimum, 1 Grande, 1 Master and 1 Deluxe), a full service kitchen, dining for up to 20 persons and related bar/lounge. This car can travel alone and with others.
2. Bi-level sleeper car: Crew quarters, six bedrooms (1 Optimum, 1 Grande, 2 Master, 2 Deluxe), secondary service kitchen and a lounge. Initially, this car will travel with car 1.
3. Single level full service car. Crew quarters, full service kitchen, two bedrooms (2 Master), a full service kitchen, dining for up to 14 persons and related bar/lounge. This car can travel alone and with others.
4. Single level sleeper car. Crew quarters, five bedrooms (2 Master and 3 Deluxe) and a coffee/tea bar. Initially this car will travel with car 3.
5. Dome car. Crew quarters, full service kitchen, two bedrooms (2 Master), and dining for up to 14 persons. This car can travel alone and with others.
6. Single level sleeper car. Crew quarters and five bedrooms (5 Master). Initially this car will travel with car 5.
The above cars can operate as three separate two car train sets or in other configurations depending on itinerary objectives and customer interest.
Additional cars will be acquired and improved based on already assured and future consumer interest.
Car Improvements:
Cars will be mechanically improved to meet Amtrak specifications and may be otherwise upgraded.
Mechanical improvements of the first couple of cars will be outsourced*. Subsequent car mechanical improvements will be completed at an in-house shop, or some may be outsourced* on a long term basis depending on circumstances presently under consideration. *Any interest?
Depending on the type and purpose of a car, interiors will be remodeled to include a mix of crew quarters, a full service or secondary kitchen, elegant dining and lounge facilities with related amenities, and a varying number of different bedroom categories.
Car interior designs, appearance and amenities will be equal to or better than other luxury train cars.
Present plans are to complete interior improvements in-house using ATs management’s extensive yacht and small cruise vessel interior design experience; this may be subject to change** based on circumstances presently under consideration. ** Any ideas?
