(“ATs”) that ATs is providing (“Data”), or that you subsequently access because of the Data, is and contains confidential and proprietary facts and details for the exclusive use and that is the property of ATs. Data includes, but is not limited to, original or a distinctive merging and combination of existing strategies, methods, operating procedures and plans for the purpose of creating and selling unique passenger railroad travel and vacation concepts in the United States and into Canada, and/or timesharing of passenger rail cars, and/or shared ownership of passenger rail cars. Except as otherwise expressly set forth herein, on behalf of yourself and any entity that you represent, you agree to hold and maintain the Data in strictest confidence for the sole and exclusive benefit of ATs, and to not directly or indirectly use or allow the use of Data for any other purpose. These provisions shall remain in effect until ATs releases you in writing, by email or otherwise, or for a two year period, whichever occurs last. xx |
